1. Introduction
1.1 These terms and conditions (the “terms”) govern the rights and obligations between LANTEK NET s.r.o., registered office Pýchavková 269/5, Pitkovice, 104 00 Praha 114, Czech Republic, company ID (IČO) 07145691, VAT ID CZ07145691, registered in the Commercial Register kept by the Municipal Court in Prague, section C, file 294855 (the “supplier”), and its customer (the “customer”) in the provision of services under the Lanflow brand.
1.2 The services are intended exclusively for businesses and legal entities. The customer declares that it enters into the contract in the course of its business. Consumer contract provisions therefore do not apply.
1.3 Arrangements in a quote, confirmed order or separate contract take precedence over these terms. The customer’s own terms do not apply unless the supplier has accepted them in writing.
1.4 Contracts are governed by Czech law (see clause 13). This English version is a translation; in case of conflict, the Czech version prevails.
2. Services
2.1 The supplier provides in particular:
- one-off services: analysis, design, setup, development and testing of system integrations, custom websites and e-shops, AI assistants, accessibility audits, training and other work under the order (“one-off deliverables”);
- integration running: data transfer between the customer’s systems through the supplier’s servers, transfer monitoring, error alerts and connector updates for new versions of supported systems (“running”).
2.2 The specific scope, price and deadline are set by the confirmed order, quote or contract. Service descriptions on the website, the price list and configurator results are for information only and do not constitute an offer to conclude a contract.
2.3 Compliance services (e-invoicing, EET, accessibility, OSS, age verification) are technical solutions. They are not tax or legal advice; the customer remains responsible for meeting its legal obligations.
3. Conclusion of the contract
3.1 The customer sends an enquiry or order via the website form, by e-mail or in the client zone. Before confirming, the supplier may review the customer’s systems and refine the scope and price.
3.2 The contract is concluded when the supplier confirms the order by e-mail, or by signing a contract. The price stated in the confirmation is binding.
3.3 By creating an account in the client zone, the customer accepts these terms and the data processing agreement. The account must be created by a person authorised to act for the customer.
4. Price and payment
4.1 Prices follow the price list valid on the day the order is sent, or an individual quote. Prices exclude VAT; the supplier is a VAT payer and adds VAT at the statutory rate.
4.2 One-off deliverables are paid once. Unless the order states otherwise, the supplier invoices after handover. For larger projects, the supplier may require an advance payment if stated in the order.
4.3 Instalments. At the customer’s request, the one-off price can be split into monthly instalments. The number, amount and due dates of instalments and any surcharge are set out in the instalment schedule in the order. If the customer is more than 15 days late with any instalment, the supplier may declare the entire remaining balance due.
4.4 Running is paid monthly, from the month in which the integration goes live. The running cost is €8 a month per integration, at most €12 a month with more modules, unless the order states otherwise. Invoices to Czech customers are issued in CZK under the Czech price list.
4.5 Invoices are due within 14 days of issue. In case of late payment, the supplier may charge statutory default interest. If the customer is more than 30 days late, the supplier may suspend running after prior notice until payment is made.
4.6 The supplier announces any change in the running price by e-mail at least 30 days in advance. If the customer disagrees, it may terminate running as of the effective date of the change.
4.7 Third-party fees (licences and API modules of accounting software, e-commerce platform plans, Bank iD, Peppol providers, payment gateways, carriers) are paid by the customer directly to those parties unless expressly included in the price.
5. Customer cooperation
5.1 The customer shall in particular provide:
- access to the connected systems (sign-in, API keys, certificates) entered in the client zone, and valid licences for those systems;
- for desktop accounting software, a computer or server with the agent installed, switched on at transfer times;
- correct and complete data in its systems, backed up regularly;
- a check of the integration settings (what goes where) and of the results of the first transfers.
5.2 The supplier’s deadlines are extended by any period in which the customer does not provide the necessary cooperation.
6. Handover
6.1 The supplier notifies the customer when a deliverable is ready for handover. The customer has 7 business days to check it and report defects that prevent its use. If no such defects are reported within that period, or the customer starts using the deliverable in live operation, it is deemed accepted.
7. Defects and claims
7.1 The customer reports defects without undue delay in writing to our registered office at Pýchavková 269/5, Pitkovice, 104 00 Praha 114 or via the contact form on this website, describing the defect and how it occurs.
7.2 Defects in one-off deliverables reported within 6 months of handover are fixed by the supplier free of charge within a reasonable time.
7.3 Issues caused by changes to or outages of third-party systems, the customer’s interventions, incorrect data or failure to meet the documented requirements are not defects. Adapting connectors to new versions of supported systems is part of running.
8. Running and availability
8.1 The supplier aims for uninterrupted operation. Specific availability and response times are guaranteed only under a service level agreement (SLA).
8.2 The supplier announces planned maintenance in advance where possible. Transfers missed due to an outage are repeated once service is restored, if the connected systems allow it.
9. Liability
9.1 The supplier is liable for damage caused by a breach of its obligations. Except for damage caused intentionally or through gross negligence, total compensation is limited to the amount the customer paid the supplier for the deliverable that caused the damage over the last 12 months.
9.2 The supplier is not liable for damage caused by outages or changes of third-party systems, incorrect data provided by the customer, or for the accounting and tax correctness of documents. The customer is responsible for its accounting and tax obligations.
10. Data protection and security
10.1 The supplier stores data on servers in the EU and encrypts access keys to the customer’s systems. Personal data processed on the customer’s behalf during running is processed under the data processing agreement, which forms part of these terms. Personal data of contact persons is processed under the privacy policy.
10.2 Both parties keep the other party’s confidential information confidential, including after the contract ends.
11. Rights to results
11.1 Connectors, the Lanflow Agent, the platform and their documentation remain the property of the supplier. The customer may use them for the duration of the contract to the extent needed for the services.
11.2 For websites, e-shops and other custom works, the customer receives, after full payment, a non-exclusive licence unlimited in time and territory for its business. The supplier may continue to use general components and libraries for other customers.
12. Term and termination
12.1 A contract for a one-off deliverable ends with its handover and payment. Running is agreed for an indefinite period.
12.2 The customer may terminate running at any time by e-mail or in the client zone. The notice period is one month and ends on the last day of a calendar month. Terminating running does not affect the obligation to pay outstanding instalments of the one-off price.
12.3 The supplier may terminate running with three months’ notice. It may terminate the contract with immediate effect if the customer is more than 60 days late with payment or misuses the services.
12.4 After running ends, the supplier disconnects the integration, deletes stored access credentials and handles data under the data processing agreement.
13. Final provisions
13.1 The contract is governed by the laws of the Czech Republic, in particular Act No. 89/2012 Coll., the Civil Code. Disputes are decided by the general courts of the Czech Republic; the court with jurisdiction over the supplier’s registered office is competent.
13.2 The supplier may amend these terms. It notifies the customer of a change by e-mail at least 30 days before it takes effect. If the customer disagrees, it may terminate running as of the effective date of the change.
13.3 Communication takes place by e-mail or in the client zone. You can contact the supplier in writing to our registered office at Pýchavková 269/5, Pitkovice, 104 00 Praha 114 or via the contact form on this website.
13.4 These terms are effective from 16 October 2026.
